Vendor Terms and Conditions
Please read the following Vendor Terms and Conditions (“Terms”) carefully. They govern your use of the Wedding Favors Hub website (the “Site”) as a vendor. By using the Site, you acknowledge that you have read and understood all of the Terms, and you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Site as a vendor.
Permitted Uses
The Site allows vendors (“Vendors”) to list various types of merchandise (the “Products”) for purchase by users or consumers (“Consumers”) of the Site. As a condition of your use of this Site as a Vendor, you agree that:
- You are an individual person at least 18 years of age;
- You possess the authority to create a binding legal obligation;
- Your use of this Site will at all times comply with these Terms;
- You will only list Products you can produce and/or ship within the listed timeframe;
- You will maintain accurate Product details and pricing;
- You will provide quality customer service and on-time fulfillment;
- You will respond promptly to communications from both customers and Proof Ecom Hub LLC d/b/a Wedding Favors Hub (“WFH”); and
- You will abide by all policies adopted by WFH and published on the Site related to Vendors and their promotion of Products on the Site.
Your Account
In order to access and use the Site as a Vendor, you must set up a vendor account (“Your Account”) and abide by these Terms. In setting up and maintaining Your Account, you agree to provide accurate information regarding your identity, your contact information, and any other information requested by WFH related to the Site. You will set your own password for accessing the Site and shall be solely and strictly liable for everything that occurs through the use of Your Account. You are responsible for maintaining the confidentiality of Your Account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under Your Account or password. You agree to immediately notify WFH of any unauthorized use of your password or Your Account, or any other breach of security of which you become aware.
Your Conduct on the Site
You may use the Site only for legal and appropriate uses. WFH reserves the right to make changes to the Site at any time and without notice. Your access to and use of the Site is completely at the discretion of WFH, and your access to and use of the Site may be blocked, suspended, or terminated without prior notice at any time for any reason or for no reason, including, without limitation, for any violation of the following rules:
- You must comply with all state, federal, and/or international laws, rules, policies and/or licenses governing communications while using the Site, and with all applicable copyright, trademark, or other intellectual property rights laws.
- You may not upload, post, sell, email, transmit or otherwise make available any content or Products which infringes any trademark, patent, copyright or trade secret or other proprietary right of any party.
- You may not submit any purposely inaccurate information, commit fraud or falsify information in connection with your use of the Site.
- You may not intimidate, harass, defame or intentionally offend other users of the Site.
- You may not request, solicit or provide any Products that are illegal, immoral or otherwise objectionable to WFH.
- You may not post any content on the Site or sell any Products on the Site that include hate speech, threatening messages, defamation, pornography, nudity or graphic or gratuitous violence.
- You may not use the Site to distribute unauthorized commercial communications.
- You may not interfere or attempt to interfere with the Site or another person’s use of the Site by use of any program, script, command, device, software, routine, or otherwise.
- You may not attempt to gain unauthorized access to any portion or feature of the Site, by hacking, password “mining” or any other illegitimate means.
- You may not create or use accounts by automated means, under false or fraudulent pretenses, or in a way that is misleading or misrepresents your identity or affiliation with another person or entity.
- You may not transmit any worms, Trojan Horses, viruses, defects, or any items of a destructive nature.
- You must fulfill all orders for Products within the timeframe listed on your Product page, use trackable shipping methods whenever possible, and keep Consumers updated as to shipping status.
Pricing and Fees
Vendors shall be responsible for setting their own Product prices, but must adhere to transparent and ethical pricing standards in accordance with any policies adopted by WFH. WFH may charge Vendors a commission on each sale (the amount of which will be outlined in detail in WFH’s policies that are adopted and amended from time-to-time at WFH’s discretion), as well as additional fees for premium placements or promotions. All fees owed to WFH will automatically be deducted before payouts for sales of Products are sent to Vendors. A full fee breakdown will be outlined in detail in WFH’s policies that are adopted and amended from time-to-time at WFH’s discretion.
Sales Tax
Vendors shall be solely responsible for the payment of all taxes on sales made by Vendors using the Site, and shall indemnify WFH against all losses, claims, damages and expenses, including reasonable attorneys’ fees and costs, arising out of any claims for taxes relating to Vendors’ sales of Products, other than taxes based on the income of WFH.
Returns & Refunds Policy
Vendors must abide by the terms of WFH’s Return & Refund Policy weddingfavorshub.com/return-refund-policy/ While Vendors are free to define their own return policy, it must be clearly stated on their listings. However, if a Product arrives damaged or does not match the listing, Vendors must offer a full refund or send a corrected replacement. Refunds must be processed through the Site, and Vendors are expected to issue refunds within 5 business days of the Consumer’s request.
Marketing & Branding Guidelines
To maintain a cohesive and high-trust marketplace, all Vendor marketing must meet the following standards:
- Vendors may use their own branding within their shop and on Product packaging;
- All branding must be professional, non-offensive, and not misleading;
- Vendors must refrain from directing WFH customers to purchase Products through channels other than the Site; and
- Vendors may include external links (e.g., to Vendor’s own site) only in their shop profiles and not within Product listings
Customer Service Expectations
Customer service is a major part of Vendor’s success. As such, WFH requires that all Vendors:
- Respond to Consumer inquiries within 48 hours;
- Be polite, professional, and solution-focused in their communications with Consumers;
- Avoid blaming or arguing with Consumers in messages;
- Ensure customization and personalization details are correct in fulfilling orders for Products;
- Double-check spelling and specifications before shipping;
- Aim to resolve complaints directly and promptly; and
- Escalate complex issues to WFH support when needed and abide by any resolution dictated by WFH.
Performance & Compliance Policy
To maintain a high-quality experience for customers and fairness across the Site, WFH regularly evaluates Vendor performance using the following metrics:
- Order Defect Rate: Includes canceled orders due to seller error, wrong or defective items, and excessive complaints.
- Late Shipment Rate: Based on orders not marked as shipped by their expected ship-by date.
- Message Response Time: Vendors should aim to respond to customer inquiries within 48 hours.
- Refund/Return Handling: Resolutions should be prompt and fair, even in difficult cases.
- Policy Compliance: Adherence to all WFH policies.
Performance reviews are conducted on a monthly or quarterly basis, depending on Vendor volume. Vendors not meeting expectations may be contacted for a review and improvement plan. Inactive shops (no listings or sales for over 90 days) may receive a courtesy notice prior to deactivation.
If performance flags are raised, Vendors will be notified with specific areas for improvement and may be offered guidance, resources, or onboarding refreshers. In some cases, restrictions may apply (e.g., listing limits or delayed payouts) during the improvement period. Failure to improve after notification of performance issues may result in temporary suspension or permanent removal from the Site.
Account Suspension & Termination Policy
WFH may suspend or terminate a Vendor account to protect the integrity of the platform and its users, for any reason in WFH’s reasonable discretion. While WFH retains the discretion to suspend or terminate a Vendor account for any reason, suspension of termination may occur for the following nonexhaustive reasons:
- Repeated late shipments, cancellations, or unfulfilled orders;
- Selling prohibited, counterfeit, or unsafe items;
- Infringement of intellectual property rights;
- Attempting to circumvent platform fees or take transactions off-platform;
- Fraud, misrepresentation, or harassment of customers or staff; and
- Multiple violations of any platform policy, after notification.
If Your Account is suspended or terminated, you are still required to fulfill all open orders unless otherwise instructed. Payouts for completed orders may be withheld temporarily (up to 30 days) during a review to ensure customer satisfaction and refund eligibility. Unfulfilled or disputed orders may result in partial deductions from pending payouts.
If you believe an enforcement action was made in error, you may submit a written appeal within 10 business days of notice that includes an explanation of the situation, evidence supporting your explanation (e.g., screenshots, shipping receipts), and corrective steps taken to address the situation. WFH aims to respond to appeals within 5–7 business days, and its determination of the appeal shall be at its sole discretion.
You may choose to close Your Account at any time by contacting support, provided that all open orders are resolved before requesting closure. Once closed, Your Account data may be retained in accordance with WFH’s Privacy Policy.
License and User Content
You shall be solely responsible for your actions and the contents of your transmissions to the Site. Although WFH does not claim ownership of any of the photographs, videos, information, materials and other content that you post on the Site (collectively, “Your Content”), by posting Your Content on the Site, you automatically grant WFH an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, reproduce and distribute Your Content on or in connection with the Site.
Indemnification/Release
You agree to indemnify, defend and hold harmless WFH, its officers, managers, owners, employees, agents, designees, users, successors, assigns, service providers and suppliers from and against all losses, liabilities, expenses, damages, claims, demands and costs, including reasonable attorneys’ fees and court costs, relating to or arising from: (a) any violation of these Terms by you; (b) Your Content and/or any other materials that are posted or activities that occur under Your Account; and (c) the Products that you sell through the Site.
You are solely responsible for your interactions with other users of the Site. To the extent permitted under applicable laws, you hereby release WFH from any and all claims or liability related to any Product, any action or inaction by another user, including another user’s failure to comply with applicable law and/or failure to abide by these Terms, and any conduct or speech, whether online or offline, of any other user.
Disclaimer of Warranty
YOU UNDERSTAND THAT THE SITE AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY KIND OF WARRANTY (EXPRESS OR IMPLIED). WFH EXPRESSLY DISCLAIMS ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AS WELL AS ANY WARRANTIES IMPLIED BY A COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE.
WFH DOES NOT GUARANTEE THAT: (I) THE SITE AND RELATED SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (II) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (III) THE SITE AND RELATED SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL MATERIALS; OR (IV) THE RESULTS OF USING THE SITE AND RELATED SERVICES WILL MEET YOUR EXPECTATIONS. YOU USE THE SERVICES SOLELY AT YOUR OWN RISK.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WFH (INCLUDING ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUBSIDIARIES, PARTNERS, OR AFFILIATES) SHALL NOT BE LIABLE TO YOU FOR ANY LOST PROFITS OR REVENUES, OR FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SITE AND RELATED SERVICES OR THESE TERMS. IN NO EVENT SHALL WFH’S AGGREGATE LIABILITY FOR ANY DAMAGES EXCEED THE GREATER OF: (I) $100, OR (II) THE AMOUNT YOU PAID WFH IN FEES IN THE PAST 12 MONTHS PRIOR TO ANY ACTION GIVING RISE TO THE LIABILITY.

Where required, WFH may give notice to you by a general posting on the Site, by electronic mail, or by conventional mail to your address of record. You may give notice to WFH by electronic mail or by conventional mail to the address below. Miscellaneous
The laws of the State of Indiana shall govern the validity, performance, enforcement, interpretation and any other aspect of these Terms, without regard to principles of conflicts of laws thereunder. The parties agree to submit to the exclusive jurisdiction and venue of the courts of Marion County, Indiana for any action arising out of these Terms.
You acknowledge and agree that the provisions, disclosures and disclaimers set forth in these Terms are fair and reasonable and your agreement to follow and be bound by them is not the result of fraud, duress or undue influence exercised upon you by any person or entity. The failure of WFH to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms shall remain in full force and effect.
WFH shall have the right to assign these Terms and to sublicense any and all of its rights under these Terms. These Terms, including any documents referenced herein and any additional operating rules as posted on the Site, represent the entire understanding between you and WFH regarding your relationship with WFH and your use of the Site and the Services. These Terms supersede all previous written or oral agreements between you and WFH with respect to such subject matter. Notwithstanding any provision of these Terms, WFH has available all remedies at law or equity to enforce these Terms.
